Woon Hum has advised on a wide range of investment funds, REITs, trust and corporate matters since 1996. He heads a team of specialist lawyers in the Trust, Asset & Wealth Management practice and co-heads the Corporate Real Estate practice.


Investment Funds

He advises on the establishment of traditional funds and alternative funds (including private equity funds, hedge funds, real estate funds, distressed and special events funds) using Singapore funds and offshore funds structures such as unit trusts, corporate funds, limited partnership funds and listed REITs. He drafts and reviews the full range of fund documents. His clients include fund managers, independent asset managers, external asset managers, wealth managers, distributors, advisers, sponsors and investors.  On the regulatory related work, he works closely with the client and the regulators on the start-up phase, licence and exemption applications (including AIFM and RFMC), and the safe harbours and waivers applications. He also advises on the recognition of foreign funds, collective investment schemes and UCITs.


Corporate Real Estate

He advises on structures for complex corporate real estate investments, joint ventures and tender projects. He also drafts and reviews a range of corporate real estate documentation. His clients include sovereign wealth funds, large corporates and property funds.


Real Estate InvestmentTrusts (REITs)

He advises on the establishment and initial public offering (IPO) of REITs.  He has an in-depth knowledge of the REITs regulations and industry and has been involved in numerous S-REIT IPOs, post-IPO acquisitions, equity fund raising exercises, debt financing and securitisation locally and regionally.


Trust and Private Wealth

He advises on trusts, family trusts, family offices, wealth protection and succession matters. He advises private clients and trustees on the establishment of private trusts and drafts and reviews trust documents and wealth planning documents.


Woon Hum has been recognised as a leading investment funds lawyer in Chambers Asia-Pacific (2012 to 2014) and a leading lawyer for private funds by Best Lawyers in Singapore in 2013 and 2014. He is also a recommended lawyer for real estate and construction in The Legal 500 Asia Pacific (2014 and 2015).
